1. Acceptance of Deliverables

The Client hereby acknowledges that they have reviewed the final website, including all pages, links, and professional email configurations. The Client accepts all terms and conditions set forth here and posted in Ophir's website by Ophir Administrative services LLC and by replying to this form, the Client accepts the website as complete and meeting the agreed-upon specifications of the non-refundable $[450/750/1250] package.

2. Transfer of Ownership

Upon receipt of the full payment and receiving this client approval form or signed document, Ophir Administrative Services LLC hereby transfers all rights, title, and interest in the website's custom design and text to the Client.

Note: Third-party assets (e.g., Godaddy/Hostinger/Squarespace platform code, stock photos, and plugins) remain subject to their original licenses.

3. Content & Compliance Responsibility (2026 Disclosure)

The Client acknowledges that they have reviewed all website content, including AI-assisted text and imagery.

Accuracy: The Client assumes full responsibility for the accuracy of business information, pricing, and claims made on the site.
Legal Compliance: The Client has reviewed the provided Privacy Policy, Terms of Service, and Accessibility Statement. The Client understands that Ophir Administrative Services LLC is a developer, not a law firm, and that final legal compliance rests with the Client.

4. Limitation of Liability

Ophir Administrative Services LLC shall not be held liable for any future "loss of business," data breaches, or hosting downtime once the site is live. We recommend the Client maintains their own offline records of critical business communications.

5. Post-Launch Support

Included Support: [e.g., 14 days] of minor bug fixes from today's date. Out-of-Scope: Any new features, page additions, or major design changes requested after this date will be billed at our standard rate of $25/hour.

1. Fee Package Scope

The Client is purchasing a Business Formation Package for $299 or $499. This fee includes the professional service and the initial state filing fees ($70–$125 depending on entity type) for the $499 DeLuxe package.

Name Availability Search: Verification with the California Secretary of State.

Entity Filing: Preparation and filing of Articles of Organization (LLC) or Articles of Incorporation (Corp).

For $499

Initial Name Availability Search: Verification with the California Secretary of State.

Entity Filing: Preparation and filing of Articles of Organization (LLC) or Articles of Incorporation (Corp).

Statement of Information: Filing the required 90-day report with the State.

Tax ID (EIN) Acquisition: Obtaining an Employer Identification Number from the IRS.

Corporate/LLC Kit: Provision of a standard Operating Agreement (LLC) or Bylaws (Corp) template.

2. Mandatory Taxes (NOT Included in Package)

The Client acknowledges that the flat-fee package covers initial filing only. The following mandatory California taxes are the sole responsibility of the Client and must be paid directly to the Franchise Tax Board (FTB):

Annual Franchise Tax: A minimum of $800 due by the 15th day of the 4th month after filing.
Ongoing Taxes: A minimum of $800 due annually for the life of the business.

3. Non-Legal Service Disclosure

Non-Attorney Status: Provider is not an attorney and is not authorized to practice law in California. Provider cannot provide legal advice on entity selection (LLC vs. Corp) or tax elections (S-Corp vs. C-Corp).
Clerical Services: Services provided are strictly clerical and administrative. All forms are prepared based on information provided by the Client.
Independent Counsel: Client is encouraged to consult a lawyer or CPA for specific legal or tax strategy

4. Terms of Payment Full payment of the Fee Package is required prior to the commencement of any filings. Once filings are submitted to the State, the package fee is non-refundable.

5. Acceptance of Deliverables

The Client hereby acknowledges that they have reviewed the Corporation or LLC name and business filing details as agreed-upon specifications of the $[299/499/1250] package.
